Welcome to Risefluence! These Terms and Conditions (the "Agreement") govern your use of the Risefluence website (the "Site") and any services provided by Risefluence ("we," "our," "us"). By accessing or using the Site, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not use the Site or any services provided by Risefluence.
Definitions
"Brand" refers to any company, organization, or individual who seeks to advertise its products or services through social media platforms.
"Influencer" refers to any individual or entity that has a substantial social media following and is interested in promoting a Brand's products or services through social media platforms.
"Service" refers to the online platform provided by Risefluence that connects Brands and Influencers for marketing opportunities.
Eligibility
To use the Site and Services, you must be at least 18 years old and have the legal authority to enter into this Agreement. If you are accessing or using the Site or Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
Registration and Account
To access the Site and Services, you must register for an account with Risefluence. You agree to provide accurate, complete, and up-to-date information during the registration process and to promptly update such information as necessary to ensure that it remains accurate, complete, and up-to-date.
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to disclose your account credentials to any third party and to notify us immediately if you suspect any unauthorized use of your account.
Services
Risefluence provides a platform that connects Brands and Influencers for marketing opportunities. We do not endorse, guarantee, or take any responsibility for the products, services, or conduct of any Brands or Influencers that you may connect with through the Site or Services.
Fees and Payments
Brands and Influencers may be charged fees for certain Services provided by Risefluence. All fees and payments will be clearly disclosed to you before you use the relevant Service. You are responsible for paying any fees and taxes associated with your use of the Site and Services. Risefluence does not handle payments between parties and users take the responsibility of managing these financial engagements on their own
Intellectual Property
You acknowledge and agree that Risefluence owns all right, title, and interest in and to the Site and Services, including all intellectual property rights. You agree not to reproduce, modify, distribute, sell, or otherwise use any content or materials on the Site or Services without our express written consent.
Confidentiality
You agree to maintain the confidentiality of any confidential information that you may receive from Risefluence, Brands, or Influencers in connection with your use of the Site or Services. You agree not to disclose such information to any third party without the express written consent of the party that provided the information.
Indemnification
You agree to indemnify and hold Risefluence, its affiliates, and their respective directors, officers, employees, and agents harmless from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site or Services, your breach of this Agreement, or your violation of any applicable law or regulation.
Disclaimer of Warranties
Risefluence provides its services and content on an "as-is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of our website, the information, content, materials, products, services or linked sites provided. We disclaim all warranties, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. We do not guarantee that our website will be error-free, uninterrupted, or free from viruses, malware, or other harmful components. We do not guarantee the accuracy, reliability, completeness, or timeliness of any information or content on our website. We are not responsible for any errors or omissions in any information or content provided on our website.
You agree to use our website at your own risk. Risefluence, its owners, affiliates, licensors and employees shall not be liable for any damages of any kind arising from the use of our website, including but not limited to, direct, indirect, incidental, or consequential damages. By using our website, you acknowledge and agree to the disclaimer of warranties. If you do not agree to the terms of this disclaimer, you should not use our website.
AI Services Disclaimer
You acknowledge that Risefluence uses artificial intelligence tools, including but not limited to, large language models, to facilitate certain functionalities within the platform. While we strive to provide accurate and useful outputs through these AI tools, we cannot guarantee the reliability, accuracy, or appropriateness of the content generated by these tools. Risefluence is not liable for any errors, inaccuracies, or the consequences of using the content provided by AI tools. Your use of AI-generated content is at your own risk, and you are solely responsible for the review, interpretation, and any reliance on such content.
AI Conduct Guidelines
Users are prohibited from manipulating AI tools to generate illegal, offensive, harmful, or inappropriate content. Risefluence reserves the right to suspend or terminate your access to AI tools and services if you violate these guidelines.
Payments and Subscriptions
Access to premium features and services on the Risefluence platform is subject to subscription fees. These fees are billed on a monthly basis and are non-refundable, except as required by law or as explicitly stated in this Agreement. Prices are subject to change upon notice from Risefluence.
Payment Processing
Payments made on the Risefluence platform are processed through third-party payment processors. Risefluence is not responsible for the processing of payments and shall not be liable for any matters related to payment transactions, including but not limited to, unauthorized charges, declined payments, or payment errors. You agree to provide accurate and current payment information and authorize our third-party payment processors to process payments on your behalf.
Cancellation and Renewal
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle, and you will not be charged for the next cycle. It is your responsibility to cancel your subscription before renewal if you do not wish to continue. Risefluence does not provide refunds for any partial-month subscription periods. To cancel your subscription, visit your Account Portal, then select “Go To Billing Portal”. This will take you to Stripe, which is Risefluence's third party payment partner. On the Stripe landing page, you will be able to cancel your subscription. For any questions, please contact our support team at info@risefluence.com.
Limitation of Liability
To the fullest extent permitted by applicable law, Risefluence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to, use of, or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Risefluence has been informed of the possibility of such damage.
Modification of Terms
Risefluence reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days" notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Site and Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
